Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 23, 2025, Lisa A. Davis notified Air Products and Chemicals, Inc. (the “Company”) that, for personal reasons, she had decided to not stand for re-election to the Company’s Board of Directors (the “Board”) at the 2026 Annual Meeting of Shareholders (the “Annual Meeting”) and to retire from the Board at the conclusion of the Annual Meeting. There are no disagreements between the Company and Ms. Davis with respect to any matter relating to the Company’s operations, policies or practices that resulted in Ms. Davis’ decision to not stand for re-election and to retire from the Board at the conclusion of the Annual Meeting. Ms. Davis has served as a director since 2020.

On November 25, 2025, the Company issued a press release regarding Ms. Davis’ decision to not stand for re-election to the Board at the Annual Meeting and to retire from the Board at the conclusion of the Annual Meeting. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
