Optional Redemption:    At any time prior to October 17, 2030 at the greater of: (1) (i) the sum of the present values of the remaining scheduled payments of principal and interest thereon discounted to the redemption date (assuming the Notes matured on October 17, 2030) on a semi-annual basis (assuming a 360-day year consisting of twelve 30-day months) at the Treasury Rate plus 20 basis points less (ii) interest accrued to the date of redemption, and (2) 100% of the principal amount of the Notes to be redeemed, plus, in either case, accrued and unpaid interest thereon to (but not including) the redemption date.
Par Call Provision:    At any date on or after October 17, 2030 (one month prior to the Maturity Date), the Notes will be redeemable, in whole or in part, at par, plus accrued and unpaid interest, if any, to (but not including) the redemption date.


Change of Control:    The occurrence of a Change of Control Triggering Event (as defined in the Preliminary Prospectus Supplement) will require the Issuer to offer to repurchase the Notes at 101% of the principal amount of the Notes, plus accrued and unpaid interest on the Notes, if any, to (but not including) the date of repurchase.
