(the “Company”) of up to 623,526 shares of the Company’s common stock, par value $0.50 each (the “Stock”), and in connection with the Registration Statement on Form S-3 (the “Registration Statement”) being filed with the Securities and Exchange Commission under the Securities Act of 1933, as amended (the “Act”) on or about the date of this letter in connection with the registration of the Stock.

Based upon and subject to the foregoing, it is our opinion that the Stock, to the extent such Stock represents original issuances by the Company, when issued in the manner referred to in the Purchase Agreement after the Registration Statement has become effective under the Act, will be legally issued, fully paid and non-assessable.
