Remarks

MAK Capital Fund LP, an affiliate of MAK Capital One LLC (together, "MAK Capital"), entered into a "zero-cost collar" arrangement (the "Contract") with an unaffiliated broker-dealer relating to the common stock, without par value, of Agilysys, Inc. (the "Shares"). Pursuant to the Contract, MAK Capital wrote European call options and purchased European put options on up to 400,000 Shares, which options have the same expiration date. Only one of such options can be in-the-money on the expiration date. On that date, the Contract is expected to be physically settled by delivery of the Shares unless MAK Capital elects to pay cash to settle its obligations, if any, under the Contract. This filing is being made in accordance with the Bank of America, N.A., Merrill Lynch, Pierce, Fenner & Smith Inc. SEC no-action letter dated December 1, 2011, and relates to hedging activity in the form of sales by the broker-dealer (or an affiliate thereof) in connection with the Contract.
