Because you are not eligible to conduct a primary offering on Form S-3 you are not eligible to conduct a primary at-the-market offering under Rule 415(a)(4). | |

| Response: | The Company respectfully submits that the transaction is a secondary offering that is eligible to be made under Rule 415(a)(1)(i). In an effort to comply with the Staff’s comment, the Company has amended the Registration Statement to reduce the number of shares of the Company’s common stock being registered for resale by the selling stockholders under this Registration Statement to 3,478,825 shares. This number is equal to one third of the Company’s total outstanding common stock held by non-affiliates on November 30, 2007. In addition, the application of the factors listed in the Staff’s comment, as well as the similar factors set forth in Telephone Interpretation 29 of the Rule 415 Telephone Interpretations (July 1997), to the facts and circumstances of the transaction supports the Company’s conclusion that the selling stockholders are not acting as a conduit for the Company and that the transaction is a true secondary offering. |
