The following update was made available to the employees of Bio-Techne Corporation (“Bio-Techne”) on August 25, 2026.
 
Merck KGaA, Darmstadt, Germany and Bio-Techne notified the proposed transaction to the German Federal Cartel Office on July 23, 2026, and as publicly disclosed by the German Federal Cartel Office, received unconditional approval on August 17, 2026.
