Explanation of Responses:

1. The TCW Group, Inc. ("TCW") is filing this Form 3 on behalf of itself and its direct and indirect subsidiaries, which collectively constituted the TCW business unit (the "TCW Business Unit"). TCW Direct Lending VIII LLC, TCW Specialty Lending LLC and TCW Star Lending LLC (the "Holders"), which both are a part of the TCW Business Unit, are the respective record holders of the warrants reported herein. As such, TCW may be deemed to have or share beneficial ownership of the Class A common stock held directly by the Holders. TCW disclaims any beneficial ownership of the securities held by the Holders other than to the extent of any pecuniary interest it may have therein, directly or indirectly.
