On January 31, 2020, Carolina Financial Corporation (the “Company”) issued a news release announcing its results of operations for the three and twelve month periods ended December 31, 2019. A copy of the news release is attached hereto as Exhibit 99.1. The information included herein, as well as in Exhibit 99.1 referenced herein, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), nor shall it be deemed incorporated by reference in filings under the Securities Act of 1933, as amended (the “Securities Act”).

Dividend Announcement

The Company’s Board of Directors declared a quarterly cash dividend of $0.10 per share payable on its common stock. The cash dividend will be payable on April 6, 2020 to stockholders of record as of March 16, 2020.
