(b) Departure of Officers
Marguerite Nader will cease to serve as Vice Chairman of the Board and Chief Executive Officer effective as of the end of the day on December 31, 2026. Effective January 1, 2027, Ms. Nader will continue to serve as a member of the Board in the role of Executive Vice Chair of the Board. Ms. Nader’s transition is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
In connection with the leadership changes described in this Item 5.02, Patrick Waite will cease to serve as Chief Operating Officer effective as of the end of the day on December 31, 2026. Mr. Waite will continue to serve as President and, effective January 1, 2027, will succeed Ms. Nader as Chief Executive Officer, as described below.
(c) Appointment of Officers
The Board appointed, effective January 1, 2027, (i) Mr. Waite as President and Chief Executive Officer, in which capacity he will serve as our principal executive officer, and (ii) David Eldersveld, our Executive Vice President, Chief Legal Officer and Corporate Secretary, as Executive Vice President, Chief Operating Officer, Chief Legal Officer and Corporate Secretary, in which capacity he will serve as our principal operating officer. We will file an amendment to this Current Report on Form 8‑K within four business days after such terms are determined.
(d) Election of Director
On October 27, 2026, the Board increased the size of the Board by one director from nine to ten directors and elected Mr. Waite to fill the vacancy created by the increase in the number of directors, in each case effective January 1, 2027. Mr. Waite will serve until our 2027 Annual Meeting of Stockholders and until his successor is duly elected and qualifies.
There are no arrangements or understandings between Mr. Waite and any other person pursuant to which he was elected as a director of the Board. Mr. Waite will not serve on a committee of the Board. The Board determined that Mr. Waite will not be independent in accordance with the New York Stock Exchange listing standards.
