Reference is made to a registration statement on Form S-8 (the “Registration Statement”) of Destination Maternity Corporation, a Delaware corporation (the “Company”), to be filed with the Securities and Exchange Commission (the “Commission”) under the Securities Act of 1933, as amended (the “Act”). The Registration Statement relates to the registration by the Company of an additional Seven Hundred Fifty Thousand (750,000) shares of common stock, par value $0.01 per share (the “Shares”), of the Company issuable under the Company’s Amended and Restated 2005 Equity Incentive Plan (the “Plan”).
