Aggregate number of securities to which transaction applies: As of August 30, 2024, the maximum number of shares of common stock to which this transaction applies is estimated to be 24,385,579, which consists of (a) 23,446,186 shares of common stock entitled to receive the per share merger consideration of $2.50; (b) 882,250 shares of common stock underlying company stock options entitled to receive the per share merger consideration of $2.50 minus any applicable exercise price; and (c) 57,143 shares of common stock to settle outstanding restricted stock units, which may be entitled to receive the per share merger consideration of $2.50.
