Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 5, 2025, Carri Lockhart, a member of the Board of Directors (the “Board”) of Innovex International, Inc. (the “Company”) and chair of the Nominating and Governance Committee thereof, notified the Board of her decision to resign from the Board, effective as of March 2, 2026. Ms. Lockhart is also a member of the Audit Committee of the Board. The decision by Ms. Lockhart to resign from the Board did not arise from any disagreement with the Company on any matters relating to the Company’s operations, policies or practices.
