Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
(d) On August 19, 2026, the Board of Directors (the “Board”) of Encore Capital Group, Inc. (the “Company”), upon recommendation from the Board’s Nominating and Corporate Governance Committee, increased the size of the Board from 8 directors to 9 directors and appointed Robert Beck as a director of the Company effective August 19, 2026. The Board has affirmatively determined that Mr. Beck qualifies as an independent director under the Nasdaq listing standards. Mr. Beck has been appointed to the Board’s Audit Committee and Risk Committee.
Mr. Beck will participate in the standard non-employee director compensation program previously approved by the Board.
There is no arrangement or understanding pursuant to which Mr. Beck was appointed as a director, and there are no related party transactions between the Company and Mr. Beck that would require disclosure under Item 404(a) of Regulation S-K.
A copy of the Company’s press release announcing the appointment of Mr. Beck to the Board is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
