This opinion is rendered in connection with the proposed issue and sale by Marine Products Corporation, a Delaware corporation (“Marine Products”), of up to 3,000,000 shares of Marine Products common stock (the “Shares”), pursuant to Marine Products’ 2014 Stock Incentive Plan (the “Plan”) upon the terms and conditions set forth in the Registration Statement on Form S-8 (the “Registration Statement”) filed by Marine Products with the Securities and Exchange Commission under the Securities Act of 1933, as amended (the “Act”). We have acted as counsel for Marine Products in connection with the issuance and sale of the Shares by Marine Products.
