We have acted as special counsel to United Online, Inc., a Delaware corporation (the “Company”), in connection with the registration on Form S-8 (the “Registration Statement”) under the Securities Act of 1933, as amended, of 4,500,000 shares of the Company’s common stock reserved for issuance under the United Online, Inc. 2010 Employee Stock Purchase Plan (the “ESPP”).

 

This opinion is being furnished in accordance with the requirements of Item 8 of Form S-8 and Item 601(b)(5)(i) of Regulation S-K.

 

We have reviewed the Company’s charter documents and the corporate proceedings taken by the Company in connection with the establishment and implementation of the ESPP and the April 14, 2010 Proxy Statement pursuant to which the ESPP will be submitted to the Company’s stockholders for approval at the Annual Stockholders Meeting to be held on May 27, 2010.  Based on such review, and assuming the ESPP is duly approved by the stockholders of the Company, we are of the opinion that if, as and when the Shares are issued and sold (and the consideration received for those Shares) pursuant to duly authorized stock purchase rights issued under the ESPP and in accordance with the Registration Statement, such Shares will be duly authorized, legally issued, fully paid and nonassessable.

 

We consent to your filing this letter as Exhibit 5 to the Registration Statement.
