To the Shareholders of Northrim BanCorp, Inc. and the Shareholders of PBCO Financial Corporation
MERGER PROPOSED—YOUR VOTE IS VERY IMPORTANT
On behalf of the boards of directors of Northrim BanCorp, Inc. (“Northrim”) and PBCO Financial Corporation (“PBCO”), we are pleased to enclose the accompanying joint proxy statement/prospectus relating to the proposed acquisition by Northrim of PBCO. We are requesting that you take certain actions as a holder of Northrim common stock (a “Northrim shareholder”) or as a holder of PBCO common stock (a “PBCO shareholder”).
On July 22, 2026, Northrim, PBCO, and Whitewater Sub, Inc. (“Merger Sub”) entered into an Agreement and Plan of Merger (as may be amended, modified or supplemented from time to time in accordance with its terms, the “merger agreement”), pursuant to which Northrim will acquire PBCO. The transaction marks Northrim’s first out-of-state branch expansion, extending its community banking franchise into Southern Oregon and the Willamette Valley and increasing the combined asset base to over $4 billion in total assets.
Pursuant to the merger agreement, PBCO will merge with and into Merger Sub (the “merger”), with Merger Sub as the surviving corporation. Immediately following the merger, Merger Sub will merge with and into Northrim (the “second step merger” and together with the merger, the “mergers”), with Northrim as the surviving entity. Immediately following the completion of the mergers, People’s Bank of Commerce, an Oregon state-chartered commercial bank and a wholly owned subsidiary of PBCO, and Northrim Bank, an Alaska state-chartered commercial bank and a wholly owned subsidiary of Northrim, will merge, with Northrim Bank as the surviving bank.
In the merger, PBCO shareholders (other than PBCO shareholders who properly exercise dissenters’ rights) will receive (a) 1.160 (the “exchange ratio”) shares of Northrim common stock for each share of PBCO common stock they own, subject to adjustments as provided in the merger agreement, and (b) cash in lieu of any fractional shares (the “merger consideration”). Based on the closing price of Northrim common stock on the Nasdaq Global Select Market (“Nasdaq”) of $27.90 as of July 21, 2026, the last trading day before the public announcement of the mergers, the exchange ratio represented approximately $32.36 in value for each share of PBCO common stock, representing merger consideration of approximately $167.3 million on an aggregate basis. Based on the closing price of Northrim common stock on Nasdaq on September 16, 2026, the last practicable trading day before the date of the accompanying joint proxy statement/prospectus, of $25.56, the exchange ratio represented approximately $29.65 in value for each share of PBCO common stock, for an aggregate transaction value of approximately $153.3 million. Each share of restricted stock of PBCO, restricted stock unit of PBCO (“RSU”) and phantom unit of PBCO (“phantom unit”) that is outstanding at the time when the merger is consummated will become fully vested and will be entitled to receive the merger consideration. Holders of phantom units will be cashed out.
Under the terms of the merger agreement, PBCO is required to have adjusted tangible common equity (which excludes accumulated other comprehensive loss (or gain), intangible assets and up to $7,500,000 of merger costs of PBCO) as of the tangible equity measuring date of not less than $102,542,499. To the extent that PBCO’s adjusted tangible common equity, as finally determined under the provision of the merger agreement, is less than $102,542,499, then the exchange ratio will be reduced on a per share basis by an amount (rounded to the nearest thousandth) determined by dividing the amount by which PBCO’s adjusted tangible common equity is less than $102,542,499 by the Northrim closing share value, and then dividing that result by the number of shares of PBCO common stock outstanding. As of June 30, 2026, PBCO’s estimated adjusted tangible common equity was $103,657,844.
Northrim shareholders will continue to own their existing shares of Northrim common stock following the mergers.
The value of the Northrim common stock at the time of completion of the merger could be greater than, less than or the same as the value of Northrim common stock on the date of the accompanying joint proxy statement/prospectus. We urge you to obtain current market quotations of Northrim common stock (Nasdaq trading symbol “NRIM”) and PBCO common stock (OTCID trading symbol “PBCO”).
We expect the mergers, taken together, should qualify as a “reorganization” within the meaning of Section 368(a) of the Internal Revenue Code of 1986, as amended (the “Code”). Accordingly, PBCO shareholders generally are not expected to recognize any gain or loss for U.S. federal income tax purposes on the exchange of shares of PBCO common stock for Northrim common stock in the merger, except with respect to any cash received by PBCO shareholders in lieu of fractional shares of Northrim common stock.
Based on the number of shares of PBCO common stock outstanding or reserved for issuance as of September 14, 2026, Northrim expects to issue approximately 5,955,402 shares of Northrim common stock to PBCO shareholders in the aggregate in the merger. We estimate that existing Northrim shareholders will own approximately 79% and former PBCO shareholders will own approximately 21% of the common stock of Northrim following the completion of the mergers.
The special meeting of Northrim shareholders will be held on October 20, 2026 at 9:00 a.m., Alaska Time. The special meeting of PBCO shareholders will be held on October 20, 2026 at 2:00 p.m., Pacific Time. At our respective special meetings, in addition to any other business that may properly come before the meeting, Northrim will ask its shareholders to approve the issuance of shares of Northrim common stock to PBCO shareholders pursuant to the merger agreement, and PBCO will ask its shareholders to approve the merger agreement. Information about these meetings and the mergers is contained in the accompanying joint proxy statement/prospectus. We urge you to read the accompanying joint proxy statement/prospectus carefully and in its entirety.
Each of our boards of directors unanimously recommends that holders of common stock vote “FOR” each of the proposals to be considered at the respective meetings. We strongly support the mergers and join our boards in their recommendations.
The accompanying joint proxy statement/prospectus provides you with detailed information about the merger agreement and the mergers. It also contains or references information about Northrim and PBCO and certain related matters. You are encouraged to read the accompanying joint proxy statement/prospectus carefully. In particular, you should read the section entitled “Risk Factors” beginning on page
