On December 22, 2025, Cohen & Company Inc., a Maryland corporation (the “Company”), issued a press release announcing the special common stock dividend described in Item 8.01 of this Current Report on Form 8-K. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
