Item 3.01

Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On September 16, 2026, Battalion Oil Corporation (the “Company”) received a letter from NYSE American LLC (“NYSE American” or the “Exchange”) notifying the Company that it is back in compliance with all of the continued listing standards set forth in Part 10 of the NYSE American Company Guide (the “Company Guide”).

As previously disclosed, on May 30, 2025, the Company had received notice from NYSE American that it was not in compliance with Sections 1003(a)(i) and 1003(a)(ii) of the Company Guide, which relate to minimum stockholders’ equity. NYSE American has determined that the Company demonstrated compliance with the applicable continued listing standards for two consecutive quarters pursuant to Section 1009(f) of the Company Guide and that the previously reported deficiency has been resolved. The Company therefore regained compliance in advance of the November 30, 2026 deadline under the Company’s previously disclosed plan of compliance.

NYSE American advised the Company that it has returned the Company to its normal continued listing monitoring procedures and will remove the Company from the Exchange's list of noncompliant issuers. In addition, the Exchange indicated that the compliance indicator previously associated with the Company's common stock will no longer be disseminated.
