(b)  On January 24, 2026, director Robert A. Schriesheim, who has served as a director of Houlihan Lokey, Inc. (the “Company”) since July 2015, informed the Company that he does not intend to stand for reelection when his term expires at the Company’s 2027 Annual Meeting of Shareholders.
