State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Aegerion Pharmaceuticals, Inc. (the “Company”) is unable to file its Annual Report on Form 10-K for the year ended December 31, 2015 (the “Form 10-K”) within the prescribed time period without unreasonable effort or expense. Additional time is needed because the Company is finalizing (i) accounting and disclosures related to the ongoing Department of Justice and Securities and Exchange Commission investigations, (ii) analysis and assessment of going concern matters, (iii) acquisition accounting related to its acquisition of MYALEPT assets in January 2015 and (iv) procedures underlying management’s report on control over financial reporting. The Company intends to file the Form 10-K no later than March 15, 2016.

The Company anticipates that its results of operations for the year ended December 31, 2015 to be included in the Form 10-K will be significantly different than its results of operations for the year ended December 31, 2014.  On February 25, 2016, the Company filed a Current Report on Form 8-K with the Securities and Exchange Commission furnishing a press release discussing the 2015 financial results that it expects to include in the Form 10-K and explaining narratively and quantitatively such results and differences between such results and results for the Company’s year ended December 31, 2014.
