     On September 16, 2010, Burger King Holdings, Inc. (the “Company”) issued a press release announcing the commencement of the previously announced tender offer by Blue Acquisition Holding Corporation and Blue Acquisition Sub, Inc. to acquire all of the outstanding shares of common stock, $0.01 par value per share, of the Company at a purchase price of $24.00 per share in cash.
