ITEM 1. DESCRIPTION OF REGISTRANT'S SECURITIES TO BE REGISTERED.
 
The shares (the "Shares") to be registered hereunder are common shares of beneficial interest, no par value per share, of Alpine Global Dynamic Dividend Fund (the "Registrant"). A description of the Shares is contained under the heading "Description of Capital Structure" in the prospectus included in the Registrant's registration statement on Form N-2, which registration statement was filed under the Securities Act of 1933 and the Investment Company Act of 1940 on May 12, 2006 (Registration Nos. 333-134096 and 811-21901, respectively), and amended on June 15, 2006 and June 23, 2006. That description is incorporated herein by reference.
