In accordance with Rule 462(b) promulgated under the Securities Act of 1933, as amended, an additional amount of securities having a proposed maximum aggregate offering price of no more than 20% of the maximum aggregate offering price of the securities eligible to be sold under the related Registration Statement on Form S-1 (File No. 333-233726), as amended, is hereby registered. The registrant previously registered securities with a proposed aggregate offering price of $40,755,000 on the Registration Statement on Form S-1 (File No. 333-233726), for which a filing fee of $3,777.99 was previously paid.

(3) Pursuant to Rule 416 of the Securities Act, the securities being registered hereunder include such additional securities as may be issued after the date hereof as a result of share splits, share dividends or similar transactions.

(7) The warrants are exercisable at a per share price of 110% of the price per Unit in this offering.
   
(8) Estimated solely for the purpose of calculating the registration fee pursuant to Rule 457(g) under the Securities Act. The warrants, or the Representative’s Warrants, are exercisable at a per share exercise price equal to 110% of the public offering price. As estimated solely for the purpose of recalculating the registration fee pursuant to Rule 457(g) under the Securities Act, the proposed maximum aggregate offering price of the Representative’s Warrants is equal to 110% of $165,000 (which is equal to 5% of the offering amount of $3,300,000 which excludes the over-allotment option).

 

This Registration Statement shall become effective upon filing in accordance with Rule 462(b) under the Securities Act of 1933, as amended.

(the “Company”). This registration statement relates to the Company’s registration statement on Form S-1 (File No. 333-233726), as amended, including the exhibits (the “Initial Registration Statement”), initially filed by the Company on September 12, 2019 and declared effective by the Securities and Exchange Commission (the “Commission”) on November 1, 2021. The Company is filing this registration statement for the sole purpose of increasing the proposed maximum aggregate offering price of the Units in the offering subject of the Initial Registration Statement.
