Item 8.01.    Other Events.
On July 30, 2025 (the "Redemption Date") MidWestOne Financial Group, Inc. (the "Company") redeemed the entire $65.0 million outstanding principal amount of the Company's 5.75% Fixed-to-Floating Rate Subordinated Notes due 2030 (the "2030 Notes"). The 2030 Notes were redeemed pursuant to the terms of that certain Indenture, dated as of July 28, 2020, between the Company and U.S. Bank National Association, as trustee (the "Trustee"), at a redemption price equal to 100% of the aggregate principal amount of the 2030 Notes, plus accrued and unpaid interest thereon to, but excluding, the Redemption Date (the "Redemption Price"). As provided in the notice of redemption, dated June 24, 2025, previously provided to the holders of the 2030 Notes, each such holder is entitled to receive the Redemption Price upon surrender of the 2030 Notes to the Trustee.
To complete the redemption, the Company utilized a combination of cash on hand and proceeds from a $50.0 million senior term note that closed on July 29, 2025. The senior term note is structured as a 5-year maturity, 7-year amortization facility, and bears interest at a floating rate of 1-month term SOFR plus 1.75%.
