SCHEDULE 13D

This Amendment No. 1 (“Amendment No. 1”) amends and supplements the Schedule 13D filed by Shawn Iadonato (the “Reporting Person”) with the Commission on February 14, 2023 (the “Original Schedule 13D” and, together with Amendment No. 1, the “Schedule 13D”). The Original Schedule 13D remains in full force and effect, except as specifically amended by this Amendment No. 1. Capitalized terms used but not defined herein shall have the meaning set forth in the Original Schedule 13D.

Item 5. Interest in Securities of the Issuer

Items 5(a)-(e) of the Schedule 13D are hereby amended by replacing them in their entirety with the following:

(a) The aggregate percentage of Common Stock that the Reporting Person may be deemed to beneficially own is determined in accordance with the rules of the Commission and is based on 10,214,945 shares of Common Stock of the Issuer issued and outstanding as reported in the S-3. Based on the foregoing, the Reporting Person may be deemed to beneficially own 9.7% of the Issuer’s Common Stock in the aggregate.

The Reporting Person beneficially owns, in the aggregate, 989,645 shares of Common Stock.

(b) Number of shares to which the Reporting Person has:

Sole power to vote or to direct the vote: 981,092

Sole power to dispose or to direct the disposition of: 981,092

(c) Except as otherwise described in this Schedule 13D, the Reporting Person has not effected any transaction related to the Common Stock during the past 60 days.

(d) Except as otherwise described in this Schedule 13D, no other person has the right to receive or the power to direct the receipt of dividends from, or the proceeds from the sale of, securities covered by this Schedule 13D.
