This Amendment No. 4 supplements and amends the Tender Offer Statement on Schedule TO filed originally on November 30, 2022 and amended by Amendment No. 1 on December 1, 2022, by Amendment No. 2 on December 9, 2022, and by Amendment No. 3 on January 11, 2023 with the Securities Exchange Commission by Seanergy Maritime Holdings Corp., a Marshall Islands corporation, (the “Company”) in connection with the Company’s offer to purchase all of its outstanding Class E common stock purchase warrants (the “Warrants”) at a price of $0.20 per Warrant. The offer was made upon and was subject to the terms and conditions set forth in the Company’s Offer to Purchase dated November 30, 2022 and a related Letter of Transmittal.

Only those items amended and supplemented are reported in this Amendment No. 4. Except as specifically provided herein, the information contained in the Schedule TO remains unchanged, and this Amendment No. 4 does not modify any of the other information previously reported on Schedule TO. You should read this Amendment No. 4 together with the Schedule TO, the Offer to Purchase, and the related Letter of Transmittal.

“On January 20, 2023, the Company issued a press release announcing the final results of the tender offer, which expired at 5:00 P.M., Eastern Time, on January 10, 2023. A copy of such press release is filed as Exhibit P to this Schedule TO and is incorporated herein by reference.”
