RE: ESPP Notice
Pfenex,
We will not be moving forward with offering period 13 under our Employee Stock Purchase Plan (ESPP). Today, the Compensation Committee of the Company’s Board of Directors has determined that no further offering periods shall commence under the ESPP for the foreseeable future.
This decision was made today after reviewing the current participation by Pfenexians and considering the restrictions in the merger agreement Pfenex signed with Ligand on adding new employees to the ESPP and allowing current participants to increase their contributions in the ESPP.
Please note that other than described above, current offering periods and purchase periods will not be modified (except as previously summarized in the prior notice we distributed to you on August 10, 2020). This means that if you are a current ESPP participant, you will be eligible to purchase shares on August 17, 2020 and be eligible to participate in the purchase period that begins on August 17, 2020, all on the terms set forth on the prior notice.
