*On August 25, 2015, LV Merger Sub, Inc., a Delaware corporation (“Merger Sub”), merged (the “Merger”) with and into Tropicana Las Vegas Hotel and Casino, Inc., a Delaware corporation (the “Company”), pursuant to that certain Agreement and Plan of Merger, dated as of April 28, 2015, by and among Penn National Gaming, Inc., a Pennsylvania corporation and the parent of Merger Sub (“Parent”), Merger Sub, the Company and Trilliant Gaming Nevada Inc. in its capacity as the stockholder representative. The Company is the surviving corporation in the Merger and is a wholly-owned subsidiary of Parent.
