Subject: An Update on the Future of Soleno Therapeutics

[Dear NAME / INSERT STANDARD GREETING],

I am writing to share important news about the future of Soleno Therapeutics.

We have agreed to be acquired by Neurocrine Biosciences, a leading biopharmaceutical company dedicated to serving patients with under-addressed neuropsychiatric, neurological, psychiatric, endocrine and immunological disorders. This transaction represents the next step in our efforts to bring VYKAT XR (diazoxide choline) extended-release tablets to more people impacted by hyperphagia with Prader-Willi syndrome (PWS).

Neurocrine shares our deep commitment to serving patients and brings significant scale, resources, and expertise. With four FDA-approved medicines on the market and a diverse pipeline of potential new treatments, Neurocrine has a strong track record of discovering, developing and commercializing life-changing medicines, including CRENESSITY and INGREZZA.

Importantly, we remain fully committed to the PWS community and to ensuring patients continue to receive the medicine they depend on. We do not expect any changes to the availability of VYKAT XR, which will continue to be available through the same specialty pharmacy.

In terms of next steps, the transaction is expected to close within 90 days, subject to satisfaction of customary closing conditions, including receipt of regulatory approvals. Until then, Neurocrine and Soleno will continue to operate as separate and independent companies, and it is business as usual for us at Soleno. At this time, we do not anticipate any changes to how we work with you. Neurocrine greatly admires the foundation we have established to meet the needs of patients and families with PWS, as well as your important collaboration with Soleno towards that end.

We greatly value our partnership with you and appreciate your continued support, which has been critical in helping us address patients’ needs.

Please don’t hesitate to reach out to your usual Soleno contact if you have any questions.

Sincerely,

[NAME]
