Annual General Meeting of Shareholders THE BOARD OF DIRECTORS RECOMMENDS A VOTE: FOR the election of our seven director nominees; FOR the approval, on an advisory basis, of the compensation of our named executive officers; and FOR the ratification of appointment of KPMG LLP as the Company’s independent registered public accounting firm for the fiscal year 2026 and to authorize the directors to fix the remuneration to be paid to the auditor. As further described in the proxy materials, the meeting will be held for the following purposes: 1. To receive and consider the audited annual financial statements of the Company for the fiscal year ended December 31, 2025 and the auditor’s report thereon; 2.
