(the "Company") and Progress Software Corporation. Estimated solely for the purpose of calculating the filing fee, the aggregate value of the transaction is calculated based on the maximum consideration to be received by the registrant in consideration for the sale and transfer of the Purchased Assets, consisting of $400,000,000.00 in cash.
