Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 20, 2026, Bristow Group Inc. (the “Company”) announced the planned retirement of Mr. Alan Corbett, Chief Operating Officer, Government Services. Mr. Corbett intends to retire from his position effective the end of this year. Mr. Corbett began his career with the Company in 2014 and has served in several senior leadership roles, including most recently as Chief Operating Officer, Government Services since February 2023.

The Company further announced that it has begun searching for Mr. Corbett’s successor and that Mr. Corbett will continue to serve in his current role in order to provide for an orderly transition of duties. Mr. Corbett’s successor and retirement date will be later confirmed.

On April 20, 2026, the Company issued a press release announcing the planned retirement of Mr. Corbett. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
