Item 8.01.
Other Events.

On May 18, 2026, National Healthcare Properties, Inc., a Maryland corporation (the “Company”), issued a press release announcing its concurrent but separate offers to purchase up to a maximum aggregate purchase price in cash of $100 million of (i) its 7.375% Series A Cumulative Redeemable Perpetual Preferred Stock,  $0.01 par value per share (the “Series A Shares”), for a purchase price of $22.50 per share in cash (the “Series A Offer”), and (ii) its 7.125% Series B Cumulative Redeemable Perpetual Preferred Stock, $0.01 par value per share (the “Series B Shares,” and together with the Series A Shares, the “Shares”), for a purchase price of $22.50 per share in cash (the “Series B Offer,” and together with the Series A Offer, the “Offers”), each less any applicable withholding taxes and without interest.

The Offers will commence upon the filing by the Company of a Tender Offer Statement on Schedule TO (the “Schedule TO”), including an Offer to Purchase (the “Offer to Purchase”), a Letter of Transmittal (the “Letter of Transmittal”) and related materials, with the U.S. Securities and Exchange Commission (the “SEC”). The Offers will commence on May 18, 2026 and are intended to expire on June 16, 2026, unless either Offer is earlier extended or terminated by the Company. A copy of the press release announcing the Offers is furnished as Exhibit 99.1 hereto and incorporated herein by reference.
