Adjusted EBITDA is defined as net income (loss), excluding (i) loss on settlement of convertible notes, (ii) gain on settlement of derivative liability, (iii) gain on change in fair value of investments, (iv) provision for (benefit from) income taxes, (v) depreciation and amortization, (vi) other income, net, (vii) investment related transaction costs, (viii) stock-based compensation, and (ix) IPO-related transaction costs. These items are excluded from Adjusted EBITDA because they are non-cash in nature, because the amount and timing of these items are unpredictable, or because they are not driven by core results of operations and render comparisons with prior periods and competitors less meaningful. We believe Adjusted EBITDA provides useful information to investors and others in understanding and evaluating our results of operations, as well as providing useful measures for period-to-period comparisons of our business performance.
