Pursuant to Rule 416 under the Securities Act of 1933, as amended (the “Securities Act”), the shares of Class B common stock of RumbleOn, Inc. (the “Company”) being registered hereunder include an indeterminate number of shares of Class B common stock that may become issuable as a result of any stock splits, stock dividends, reclassifications, recapitalizations, combinations or similar transactions.
   
(2) The proposed maximum offering price per share and the proposed maximum aggregate offering price were estimated solely for purposes of calculating the registration fee in accordance with Rule 457(c) under the Securities Act. The maximum offering price per share and maximum aggregate offering price are based on a price of $2.70, which was the average of the high and low sales prices per share of Class B common stock reported on the Nasdaq Capital Market on May 6, 2025 (a date within five business days prior to the filing of this registration statement on Form S-3).
