Just over ten years ago, Avidity Biosciences was founded on the bold vision to profoundly improve people’s lives by delivering a new class of RNA therapeutics. Since then, we have made incredible strides, breaking new ground as the first-ever company to successfully demonstrate targeted delivery of RNA to muscle and showing through our clinical programs the potential impact this novel approach can truly have on patients.

Today, we are taking another significant step forward in this journey. Avidity has entered into a definitive merger agreement to be acquired by Novartis, under which Novartis will acquire our programs and pipeline in neuroscience and gain access to our RNA-targeting delivery platform. This acquisition is expected to follow the separation of Aviditys early-stage precision cardiology programs and collaborations into a new company, SpinCo. You can read our press release here.

It’s important to remember that today is just the first step in the process – there are many details still to be worked out. We expect the transactions to close in 1H 2026, subject to the separation of SpinCo and other customary closing conditions. Until then, Avidity and Novartis will continue to operate as separate and independent companies.
