Just over ten years ago, Avidity was founded on the bold vision to profoundly improve people’s lives by delivering a new class of RNA therapeutics. Since then, we have made incredible strides as the first-ever company to successfully demonstrate the targeted delivery of RNA to muscle. Just this year, we have achieved numerous key milestones – most importantly, delivering consistent and reproducible data across our three clinical programs and setting the stage to deliver del-zota, del-desiran and del-brax to people waiting for treatment. This progress has been possible because of the incredible partnership we have with our patient communities.
Today, we reached another important milestone. Avidity has entered into a definitive merger agreement to be acquired by Novartis, under which Novartis will acquire our programs and pipeline in neuroscience and gain access to our differentiated RNA-targeting delivery platform. The agreement encompasses our three late-stage clinical development programs: del-zota, del-desiran and del-brax. The press release we issued announcing this news can be found here.
We understand that patients are waiting. Here’s what you need to know:
| • | We are working closely with Novartis to ensure that our studies continue to run smoothly and we are committed to supporting a seamless transition of these programs to Novartis. We are confident that under Novartis’ ownership and with the benefit of its greater resources and global scale, these programs will be well-positioned for global regulatory approvals and market entry worldwide. |
| • | Novartis is well-positioned to continue advancing del-zota, del-desiran and del-brax to commercialization. As one of the world’s leading global healthcare companies, Novartis brings deep experience in innovation and delivering treatments to people living with serious, unmet medical needs. |
| • | While this is a significant milestone for Avidity, today is just day one. We expect the transactions to close in the first half of 2026, until then Avidity will continue to operate as a separate and independent company. |
In addition, Avidity’s early-stage precision cardiology programs and collaborations will be separated into SpinCo, which is expected to be a publicly traded company. SpinCo will be led by Kathleen Gallagher, currently Avidity’s chief program officer, as chief executive officer. Sarah Boyce, currently Avidity’s chief executive officer, will serve as chair of the board. We are energized by the opportunity ahead to continue building on our groundbreaking AOC platform with the potential to address high unmet need in cardiovascular diseases.
