Pangaea Logistics Solutions Ltd. was unable to file its Form 10-K for the fiscal year ended December 31, 2024 (the “2024 10-K”) prior to the close of business on March 17, 2025 for reasons outside of the Company’s control that could not be resolved in time to meet the filing deadline. The 2024 10-K was filed after the close of business on March 17, 2025 and was posted to the EDGAR system on March 18, 2025.
