Email to Associate stockholders containing an update regarding the upcoming stockholder meeting to vote on the pending merger with BancorpSouth.

Upcoming Meeting of Stockholders to Vote on BancorpSouth Merger

Take a moment to vote your shares.

Cadence Bancorporation’s (CADE) stockholders will have a special meeting on Monday, August 9, 2021 at 9 a.m. CT to vote on proposals related to our pending merger with BancorpSouth.

As a CADE stockholder your vote is important, regardless of the number of shares you own, and it demonstrates your support of the merger and the opportunities it brings.

This stockholder vote is a crucial part of our merger approval process. We cannot complete the transaction unless shareholders at both companies approve the proposal to adopt the merger agreement. The merger is expected to close in the fourth quarter of 2021, pending the approval of both sets of shareholders, regulatory approval and the satisfaction of other customary closing conditions.

Proxy materials are being mailed to CADE stockholders by Broadridge Financial Solutions. As a stockholder, you are invited to attend the special stockholders’ meeting on August 9 by visiting www.virtualshareholdermeeting.com/CADE2021SM. Please log in 10 to 15 minutes prior to the 9 a.m. CT start time.

If you are a stockholder of record as of July 6, 2021, we ask you to take a moment to vote your shares online at Proxyvote.com, so we can achieve our goal of having all associate stockholders’ votes recorded.

Instructions regarding each method of voting are included in the proxy package. If you are a stockholder of record as of July 6, 2021, you may vote your proxy by accessing the Internet link provided in the proxy card, calling the toll-free number specified on your proxy card, signing and returning the proxy card in the postage-paid envelope provided, or attending the special stockholders’ meeting on August 9. You must have the control number printed on your proxy card to vote.

If you hold CADE common stock in the name of a broker, bank or nominee, please follow the voting instructions provided by your broker, bank or nominee to ensure that your shares are represented at the special stockholders’ meeting on August 9. Street name holders may only vote at the special stockholders’ meeting if they have a legal proxy to vote their shares.

We appreciate your continued support.
