Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of July 24, 2026, the Board of Directors (the “Board”) of Hewlett Packard Enterprise Company (the “Company”) has appointed David I. Goulden, former Executive Vice President and Chief Financial Officer at Booking Holdings Inc., the global online travel company and parent of brands including Booking.com, Priceline, and KAYAK, to serve as a director of the Company. In addition, the Board appointed Mr. Goulden to serve as a member the Finance and Investment Committee of the Board and the HR and Compensation Committee of the Board, effective as of the same date.

In consideration of his service during the remainder of the current board year, Mr. Goulden will receive pro-rata portions of the annual equity and cash retainers that are provided under the non-employee director compensation arrangements generally applicable to all non-employee directors of the Company (the “Director Compensation Program”). Thereafter, he will participate in full in the Director Compensation Program.

Mr. Goulden does not have any family relationships with any executive officer or director of the Company or its affiliates. He is not a party to any transaction requiring disclosure under Item 404(a) of Regulation S-K.
