At Home Team Members,

 

This morning we announced that we have entered into an amended agreement with H&F. Under our new agreement, H&F will acquire all of the outstanding shares of At Home for $37.00 per share in cash, up from $36.00 per share. You can read the press release here.

 

Our Board unanimously believes that this increased offer and revised agreement is the optimal path forward and in the best interest of our company and all At Home stockholders. It provides certain and substantial value in a timely manner.

 

To complete the transaction, H&F will commence a tender offer, on or before June 23, 2021, to acquire all of the outstanding shares of At Home common stock. This transaction structure is different than the one in the prior agreement, where a stockholder vote was involved. A tender offer is an offer made directly to a company’s stockholders to purchase their stock. Stockholders who support the transaction will “tender” their shares to H&F. As discussed, upon completion of the merger, At Home will become a private company and shares of At Home common stock will no longer be listed on any public market.

 

Over the coming weeks, there will be additional press releases and regulatory filings related to the tender offer process. To answer any immediate questions that you may have about a tender offer and how to tender shares, we’ve prepared the attached FAQ.
