Item 1. Description of the Registrant’s Securities to be Registered.

A description of the common stock, par value $0.0001 per share, of SS Innovations International, Inc., a Florida corporation (the “Registrant”), to be registered hereunder is set forth under the heading “Description of Capital Stock” in the prospectus constituting a part of the Registrant’s Registration Statement on Form S-1 (File No. 333-277074), filed with the Securities and Exchange Commission (the “Commission”) on February 14, 2024, and is incorporated herein by reference.

The common stock to be registered hereunder has been approved for listing on The Nasdaq Capital Market under the trading symbol “SSII”.
