Subject to the terms and conditions of the Merger Agreement between Stira Alcentra Global Credit Fund (“Stira Alcentra” or the “Fund”) and Priority Income Fund, Inc. (“Priority”), each holder of Class A, Class T, Class D, Class I and Class C shares of beneficial interest of Stira Alcentra that were issued and outstanding immediately prior to the effective time of the merger received the number of shares of common stock of Priority, determined by applying an exchange ratio based on the respective net asset values of Stira Alcentra and Priority, in each case calculated as of two business days prior to the closing of the merger. Upon completion of the merger, shareholders of Stira Alcentra became stockholders of Priority. In addition, the separate corporate existence of Stira Alcentra ceased upon completion of the merger. As a result, Stira Alcentra had no assets or shareholders following the completion of the merger.

The Fund merged with Priority and, as a result of the merger, the Fund’s shareholders received Priority common shares in exchange for their Fund shares.
