Explanatory Note

 

On October 28, 2025, Jamf Holding Corp., a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Jawbreaker Parent, Inc., a Delaware corporation (“Parent”), and Jawbreaker Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”). Parent and Merger Sub are affiliates of Francisco Partners Management, L.P. (“Francisco Partners”). Pursuant to the Merger Agreement, Merger Sub will be merged with and into the Company (the “Merger”), with the Company surviving as a wholly owned subsidiary of Parent.

 

Item 2.02.Results of Operations and Financial Condition.

 

On October 29, 2025, the Company and Parent issued a joint press release announcing the execution of the Merger Agreement. The joint press release includes certain enhanced guidance for the quarter ended September 30, 2025. In the press release, the Company also announced that it has cancelled its previously announced conference call to discuss its financial results for the quarter ended September 30, 2025, and that it will issue its financial results for the quarter ended September 30, 2025 via press release on November 10, 2025. The full text of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
