| * | On October 11, 2024, New Mountain Guardian III BDC, L.L.C., a Delaware limited liability company (the “Target Fund”) and New Mountain Private Credit Fund, a Maryland statutory trust (the “Surviving Fund”) entered into an Agreement and Plan of Merger (the “Merger Agreement”), providing for, among other things, the merger of the Target Fund with and into the Surviving Fund. Pursuant to the Merger Agreement, on December 17, 2024, the Target Fund merged with and into the Surviving Fund. |
