Item 8.01. Other Events.
On December 15, 2025, Nasdaq MarketSite published a conversation hosted by Christina Ayanian of the Nasdaq MarketSite involving Martin Costas, Chief Financial Officer of Boxabl Inc. (the “Company”). In particular, Mr. Costas noted that the Company is currently able to manufacture 3,000 units per year in its factories. This represents the Company’s estimate of the maximum number of Casitas that could be manufactured in a year if its factories were operating on a 24-hour basis with a fully-staffed manufacturing team. Attached as Exhibit 99.1 hereto is a transcript of that conversation.
This Report and Exhibit 99.1 hereto may contain forward-looking statements and information relating to, among other things, the Company, its business plan and strategy, and its industry. These forward-looking statements are based on the beliefs of, assumptions made by, and information currently available to the Company’s management. All statements contained in this Report and in Exhibit 99.1 other than statements of historical fact, including statements regarding the Company’s future results of operations and financial position, its business strategy and plans, and its objectives for future operations, are forward-looking statements. The words “believe,” “may,” “will,” “estimate,” “continue,” “anticipate,” “intend,” “expect,” and similar expressions are intended to identify forward-looking statements. The Company has based these forward-looking statements largely on its current expectations and projections about future events and trends that it believes may affect its financial condition, results of operations, business strategy, short-term and long-term business operations and objectives, and financial needs. These forward-looking statements are subject to a number of risks, uncertainties and assumptions. Moreover, the Company operates in a very competitive and rapidly changing environment. New risks emerge from time to time. It is not possible for the Company to predict all risks, nor can it assess the impact of all factors on its business or the extent to which any factor, or combination of factors, may cause actual results to differ materially from those contained in any forward-looking statements it may make. In light of these risks, uncertainties and assumptions, the future events and trends discussed in this Report and in Exhibit 99.1 may not occur and actual results could differ materially and adversely from those anticipated or implied in the forward-looking statements.
The Company undertakes no obligation to revise or publicly release the results of any revision to these forward-looking statements, except as required by law. Given these risks and uncertainties, readers are cautioned not to place undue reliance on such forward-looking statements.
