Except as set forth herein, the Schedule 13D remains in full force and effect. Each capitalized term used but not defined herein has the meaning ascribed to such term in the Schedule 13D. Item 4 of the Schedule 13D is hereby amended and supplement to add the following at the end thereof: In connection with consummation of the transactions contemplated by the Merger Agreement ("Closing"), the Reporting Persons disposed of all shares of Class A Common Stock in exchange for consideration equal to $5 per share. Following Closing, the Class A Common Stock ceased to be listed or traded on the New York Stock Exchange, and the Issuer became a privately-held company. Item 5(a) of the Schedule 13D is hereby amended and restated in its entirety as follows: The information set forth in rows (11) and (13) of the cover pages of this Schedule 13D is incorporated by reference into this Item 5. As of the date hereof, none of the Reporting Persons directly or indirectly hold any shares of Class A Common Stock. GSO Altus Holdings Associates LLC is the general partner of GSO Altus Holdings. GSO Holdings I L.L.C. is the managing member of GSO Altus Holdings Associates LLC. Blackstone Holdings II L.P. is the managing member of GSO Holdings I L.L.C. Blackstone Holdings I/II GP L.L.C. is the general partner of Blackstone Holdings II L.P. Blackstone Inc. is the sole member of Blackstone Holdings I/II GP L.L.C. The sole holder of the Series II preferred stock of Blackstone Inc. is Blackstone Group Management L.L.C. Blackstone Group Management L.L.C. is wholly-owned by Blackstone's senior managing directors and controlled by its founder, Stephen A. Schwarzman. Item 5(b) of the Schedule 13D is hereby amended and restated in its entirety as follows: The information set forth in rows (7) through (10) of the cover pages of this Schedule 13D is incorporated by reference into this Item 5. Item 5(c) of the Schedule 13D is hereby amended and restated in its entirety as follows: Except as set forth in Item 4 hereof, none of the Reporting Persons or, to the best knowledge of the Reporting Persons, has effected any transactions in Class A Common Stock in the past 60 days. As a result of the Merger and transactions related thereto, each of the Reporting Persons ceased to be the beneficial owner of more than five percent of the outstanding shares of Class A Common Stock on April 16, 2025.
