EXPLANATORY NOTE

New Chairperson of the Board of Directors

Innoviz Technologies Ltd. (“Innoviz”) hereby reports that the Board of Directors (the “Board”) appointed Yoav Har-Even, a member of the Board, as Chairperson of the Board, effective immediately, following Amichai Steimberg’s decision to step down as Chairperson. Mr. Steimberg will continue to serve as a member of the Board.
