144: Remarks and Signature
| Remarks | In accordance with the procedures described in the Securities and Exchange Commission's interpretive letter to Goldman, Sachs & Co., dated December 20, 1999 and the Commission's interpretive letter to Bank of America N.A., Merrill Lynch, Pierce, Fenner & Smith Inc., dated December 1, 2011, the shares noticed in this Form 144 are subject to a contract (the "Contract") in respect of a contingent forward sale transaction between the Filer and Goldman Sachs Bank AG ("GS Bank"), an affiliate of Goldman Sachs & Co. LLC, covering up to a maximum of 399,620 shares in the aggregate which have been pledged to GS Bank. The actual number of shares sold under the Contract will be based on the formula agreed to by the parties over an observation period of up to 18 months. Any initial hedging activity in connection with the contingent forward sale transaction will be conducted by the broker named in this Form 144. |
