Blue Owl Real Estate Net Lease Trust
Unaudited Pro Forma Condensed Combined Financial Information
Introduction

On April 19, 2026, Sunshine Ultimate Parent LLC, a Delaware limited liability company ("Parent"), and Sunshine Holding REIT LLC, a Delaware limited liability company and wholly owned subsidiary of Parent ("Merger Sub"), each an indirect wholly-owned subsidiary of Blue Owl Real Estate Net Lease Trust, a Maryland statutory trust ("ORENT" or the "Company"), entered into an Agreement and Plan of Merger (the "Merger Agreement") to acquire one hundred percent (100%) of the outstanding shares of common stock of Sila Realty Trust, Inc., a Maryland corporation ("Sila" or the "Acquiree"), from the holders thereof. On July 1, 2026, the Company completed the acquisition of Sila, pursuant to which Sila merged with and into Merger Sub, with Merger Sub continuing as the surviving entity, for total consideration of approximately $2,452.7 million, including aggregate cash consideration of approximately $2,434.3 million, reflecting $30.38 per share of Sila common stock, payoff of existing debt, applicable closing adjustments and any amounts required by law to be withheld (the "Acquisition"). As a result of the Acquisition, the Company indirectly acquired Sila’s portfolio of net-leased healthcare real estate properties located across the United States (the "Portfolio").

The Acquisition was funded with proceeds from borrowings under the Company's existing unsecured revolving credit facility (the "Financing"), as further described below. A portion of the Financing proceeds was used to repay Sila’s outstanding indebtedness at closing.

On July 1, 2026, in connection with the closing of the Acquisition, Blue Owl NLT Operating Partnership, the Company's operating partnership ("NLT OP" or the “Operating Partnership”), borrowed approximately $2,580.0 million under its unsecured revolving credit facility (the "Revolving Credit Facility") with KeyBank National Association, as agent, and the lenders party thereto, pursuant to the Amended and Restated Credit Agreement, dated as of June 12, 2025, as amended. The proceeds of the Revolving Credit Facility were used to, among other things, (a) pay approximately $1,669.5 million of merger consideration to holders of Sila common stock, (b) fund approximately $20.2 million of payments in respect of outstanding Sila equity awards, (c) repay approximately $705.1 million of Sila's outstanding indebtedness, including accrued interest and fees, and (d) pay costs and expenses incurred in connection with the Acquisition.

The adjustments to the unaudited pro forma combined statements of operations for the three months ended March 31, 2026 and the year ended December 31, 2025 are as follows:

(a) Represents the historical condensed consolidated statements of operations of the Company for the three months ended March 31, 2026, and the year ended December 31, 2025, as presented in the Company's Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2026, and in the Company’s Annual Report on Form 10-K for the year ended December 31, 2025.
(b) Represents the historical condensed consolidated statements of operations of Sila for the three months ended March 31, 2026, and the year ended December 31, 2025, as presented in Sila's Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2026, and in Sila’s Annual Report on Form 10-K for the year ended December 31, 2025, respectively. In order to conform to the Company's presentation, we condensed and reclassified certain amounts presented in the historical financial statements of Sila. The reclassifications are a presentation matter only and no accounting policy conformity adjustments have been made.
(c) Rental revenue is adjusted to remove Sila’s historical straight-line rent adjustment and amortization of the net above-market and below-market lease intangibles recorded in the Acquisition of $3,009 and $137 for the three months ended March 31, 2026 and $9,755 and $529 for the year ended December 31, 2025, respectively. Rental revenue is further adjusted to recognize revenue related to the acquired leases on a straight-line basis and the amortization of the net below market lease intangible liability of $3,709 and $1,293, respectively, for the three months ended March 31, 2026 and $16,866 and $5,173, respectively, for the year ended December 31, 2025. Straight-line rent is recognized over the remaining term of each acquired lease. The related amortization is recognized over the weighted average remaining term of the related leases as an adjustment to rental revenue, in accordance with the Company's policies.
(d) Reflects the straight-line lease cost on the acquired ground leases, for which a right-of-use asset was recognized in the allocation of the cost of the assets acquired, less the removal of Sila's historical ground and corporate lease cost. Lease cost is measured as the remaining lease payments at the acquisition date recognized on a straight-line basis over the weighted average remaining lease term of 35.8 years, in accordance with the Company's policies.

(e) Represents management fees associated with the Acquisition of the Portfolio. Management fees are calculated at 1.25% of the Portfolio’s net asset value (“NAV”) as of the acquisition date per annum payable monthly for services rendered related to ongoing operations of the Company. The management fee has been calculated as if the Acquisition occurred on January 1, 2025.
(f) Represents the pro forma adjustment for performance participation allocation. In connection with the Acquisition, Blue Owl Oak Trust Carry LLC and Blue Owl Real Estate Net Lease Trust CPV LP (the “Special Limited Partners”) will receive a performance participation allocation from the Operating Partnership, equal to 12.5% of the Total Return on the Class S, Class D, and Class I units of the Operating Partnership, subject to a 5% Hurdle Amount (calculated as an annualized internal rate of return) and a Catch-Up, after recouping any Loss Carryforward Amount (as such terms are defined in the Company’s Annual Report on Form 10-K for the year ended December 31, 2025), consistent with the methodology described in the limited partnership agreement of the Operating Partnership. The adjustment has been calculated on an annualized basis as if the Acquisition occurred on January 1, 2025.
(g) Represents the pro forma adjustment for depreciation and amortization expense based on the Company’s basis in the assets that would have been recorded assuming the Portfolio had been acquired on January 1, 2025. Depreciation and amortization are calculated in accordance with the Company’s policies and reflect management’s estimates of useful lives for buildings, improvements, and identifiable intangible assets. Investments in real estate are depreciated over their estimated remaining useful lives beginning on the assumed acquisition date, and lease-related intangibles are amortized over the remaining lease terms.
(h) Represents the proportionate share of the Portfolio’s historical net income and the transaction-related adjustments attributable to noncontrolling interests of the Operating Partnership.
(i) Represents the pro forma adjustment to remove the historical interest expense related to the debt that was extinguished upon Acquisition and to record estimated interest expense related to the Financing, as if such debt had been outstanding since January 1, 2025, as follows:

Weighted Average Interest RatePrincipal Balance OutstandingThree Months Ended March 31, 2026Year Ended December 31, 2025
Credit facility
Unsecured revolving credit facility (i)
5.10%$2,455,537 $31,322 $125,287
Total interest expense adjustments related to the Financing$31,322 $125,287
Less: Sila's historical interest expense(9,573)(37,762)
Incremental interest expense related to financing adjustments$21,749 $87,525

(i) The unsecured revolving credit facility bears interest at adjusted term SOFR plus an applicable margin of 145 basis points at Pricing Level II. Term SOFR refers to one-month SOFR, which was 3.65% on March 31, 2026.

A hypothetical 1/8th of a percent increase/decrease in the interest rate used for the unsecured revolving credit facility would result in an increase/decrease of approximately $767 in pro forma interest expense for the three months ended March 31, 2026 and $3,069 in pro forma interest expense for the year ended December 31, 2025.

In addition, General and administrative expenses of $8,640 were incurred for the year ended December 31, 2025 as a result of fees associated with a bridge loan financing that was not utilized within the acquisition.

(j) Represents the proportionate share of financing-related pro forma adjustments attributable to noncontrolling interests of the Operating Partnership.

Note 3 – EPS
The Company's pro forma earnings per share ("EPS") amounts have been computed for each period presented as described below. All classes of common shares are allocated net income/(loss) at the same rate per share and receive the same gross distribution per share. Unvested restricted Class I shares are considered to be participating securities because they contain non-forfeitable rights to distributions. The restricted Class I shares participate equally with all classes of common shares, and therefore pro forma net income has not been presented separately.

Pro forma basic net income per common share was computed by dividing pro forma net income attributable to common shareholders by the weighted average number of common shares outstanding during the period, excluding unvested restricted Class I shares.

Pro forma diluted net income per common share was computed by dividing pro forma net income attributable to common shareholders, adjusted for pro forma net income attributable to dilutive OP Units, by the weighted average number of common shares outstanding during the period, increased by the dilutive effect of unvested restricted Class I shares and OP Units.

The computation of pro forma basic and diluted net income per common share is presented in the table below:
